These Terms and Conditions (“Terms”) govern your use of the website and non-clinical administrative services operated by Thrive Wellbeing LLC, doing business as Thrive Infusions & MedSpa (“Thrive,” “Thrive Infusions & MedSpa,” “MSO,” “we,” “us,” or “our”).
By accessing or using this website, using its scheduling or administrative features, or otherwise interacting with Thrive through this website, you agree to these Terms.
If you do not agree with these Terms, please do not use the website.
Thrive Wellbeing LLC, doing business as Thrive Infusions & MedSpa, is a non-clinical management services organization (“MSO”). Thrive Wellbeing LLC is not a medical practice and does not provide medical care, practice medicine or nursing, make clinical decisions, or direct, control, or interfere with the professional judgment of licensed healthcare providers.
Thrive provides non-clinical management, administrative, and operational support to independently owned professional medical practices. These services may include appointment scheduling and reminders, administrative intake coordination, payment-platform facilitation and reconciliation support, bookkeeping and operational reporting, website and marketing support, vendor management, non-clinical customer service, and other non-clinical business operations.
This distinction reflects the parties' underlying Master Services Agreement, under which the professional practices retain sole authority over professional and clinical matters.
Clinical services available at the Thrive Infusions & MedSpa location are provided under independently owned Washington professional limited liability companies.
IV therapy and related clinical services are provided under:
Integrative Mental Health PNW, PLLC
Integrative Mental Health PNW, PLLC is responsible for clinical decision-making related to its service line.
Medical aesthetic services, including medical microneedling and other medical aesthetic services offered from time to time, are provided under:
NW Behavioral Health Collaborative, PLLC
NW Behavioral Health Collaborative, PLLC is responsible for clinical decision-making related to its service line.
The MSA specifically allocates the IV service line to Integrative Mental Health PNW, PLLC and the aesthetic service line to NW Behavioral Health Collaborative, PLLC.
The applicable PLLC—not Thrive Wellbeing LLC—is the clinical provider responsible for the applicable clinical service.
Each PLLC retains sole and exclusive control over professional and clinical matters associated with its respective service line.

These areas of reserved clinical authority are expressly assigned to the PLLCs under the MSA.
Thrive Wellbeing LLC does not establish or modify clinical protocols, determine whether an individual is medically appropriate for treatment, diagnose medical conditions, prescribe or order treatment, direct clinical care, or interfere with the professional judgment of a licensed healthcare provider.
This website is operated by Thrive Wellbeing LLC for informational, marketing, scheduling, and administrative purposes.
Information concerning IV therapy, medical aesthetics, microneedling, wellness, ingredients, treatments, potential benefits, or other health-related topics is provided for general informational and educational purposes only.
Website content does not constitute medical advice, diagnosis, prescribing, treatment, or an individualized clinical recommendation by Thrive Wellbeing LLC.
Nothing on this website should replace evaluation or advice from an appropriately licensed healthcare provider.
Use of this website, communication with Thrive, submission of an inquiry, scheduling of an appointment, or payment through an administrative platform does not establish a provider-patient relationship with Thrive Wellbeing LLC.
Thrive Wellbeing LLC does not establish provider-patient relationships because it is not a clinical provider.
Any provider-patient relationship associated with a clinical service is with the applicable PLLC and its licensed healthcare provider(s), subject to the applicable professional practice's clinical requirements.
This is consistent with the MSA's express prohibition against the MSO establishing a provider-patient relationship.
Thrive may facilitate appointment booking, reminders, and scheduling on behalf of the applicable PLLC.
Scheduling a clinical service through the Thrive website or booking platform does not mean that Thrive Wellbeing LLC is providing that service.
It also does not constitute a clinical determination that the individual is eligible or appropriate for the requested treatment.
The applicable PLLC and its licensed healthcare providers retain responsibility for determining whether a clinical service is appropriate.
The MSA specifically permits booking to be facilitated through the MSO's platform on behalf of the applicable PLLC while requiring the responsible PLLC to be identified as the provider of the clinical service.
Certain services may require a Good Faith Exam (“GFE”), medical history, screening, contraindication review, clinical clearance, informed consent, or other clinical evaluation.
A qualified third-party GFE or telehealth provider may be used to facilitate certain examinations or screening workflows.
Thrive may coordinate these services for administrative purposes only.
Any reliance upon a GFE, determination of treatment eligibility, clinical approval, or required follow-up remains under the authority of the applicable PLLC and its licensed healthcare providers.
Use of a third-party GFE vendor does not replace or diminish the clinical authority or obligations of the applicable PLLC or its medical director.
Clinical services may involve risks, benefits, contraindications, alternatives, and potential adverse effects.
Clinical informed consent is the responsibility of the applicable PLLC and its licensed healthcare providers.
Service-specific clinical consents and other clinical documents should identify the PLLC responsible for the applicable service, consistent with the patient-facing structure established in the MSA.
Website descriptions and these Terms do not replace procedure-specific informed consent.
This website and Thrive's administrative communication channels are not intended for medical emergencies.
If you believe you are experiencing a medical emergency, call 911 or seek immediate emergency medical care.
Do not rely upon website forms, administrative email, social media, online booking, or other non-emergency administrative communications for emergency medical assistance.
Appointment times are reserved specifically for each client.
At least 24 hours' notice is requested when canceling or rescheduling an appointment.
Appointments canceled with less than 24 hours' notice and missed appointments/no-shows may be subject to a $75 cancellation fee.
Clients arriving more than 15 minutes late may need to reschedule when there is insufficient time to complete the appointment.
A $100 deposit may be required to reserve a future appointment following a late cancellation, no-show, or other applicable scheduling circumstance.
Additional scheduling terms disclosed at booking may apply.
These scheduling policies are administrative and do not affect the applicable PLLC's authority to postpone, modify, or decline a clinical service for clinical reasons.
Thrive Wellbeing LLC may provide payment-platform facilitation, reconciliation, bookkeeping, and other administrative support, but Thrive is not the clinical provider and does not own clinical revenue accounts.
For clinical services, the applicable PLLC is the provider of the relevant service and should be identified as such on applicable patient-facing invoices and receipts.
The MSA provides that patient payments for clinical services are deposited into an account owned by Integrative Mental Health PNW, PLLC, while the applicable PLLC remains identified as the clinical provider of its respective service. Thrive may have administrative access to facilitate payment processing but does not own the clinical revenue account.
For aesthetic services specifically, service-line attribution remains with NW Behavioral Health Collaborative, PLLC as the clinical provider even though the MSA presently provides for those payments to be deposited into an account owned by Integrative Mental Health PNW, PLLC.
The processing or administrative facilitation of a payment does not make Thrive Wellbeing LLC the provider of the underlying clinical service.
Prices are subject to change, and inadvertent pricing or typographical errors may be corrected.
Except where required by law or otherwise stated in a specific agreement, payments for services already rendered are generally non-refundable.
Policies applicable to prepaid services, packages, deposits, memberships, or other purchases may be provided separately.
Dissatisfaction with an aesthetic or wellness outcome does not automatically create an entitlement to a refund.
Nothing in this section limits rights or remedies that cannot legally be waived.
Thrive may administer advertising and promotional programs as part of its non-clinical marketing and management services.

Promotional eligibility does not determine clinical eligibility.
A promotion, discount, gift card, or prepaid purchase does not require a PLLC or provider to perform a treatment that the provider determines is clinically inappropriate.
Packages and prepaid treatment series may be subject to additional terms disclosed at purchase.
Purchasing a package does not guarantee clinical eligibility for every included treatment.
Clinical suitability may change over time, and the applicable PLLC and licensed healthcare providers retain sole authority to determine whether treatment should be performed.
If memberships are offered, they may be subject to separate membership terms addressing recurring payments, minimum commitments, included benefits, discounts, renewal, cancellation, unused benefits, and other conditions.
Membership benefits do not guarantee that a particular clinical service will be medically appropriate.
Clinical eligibility and treatment decisions remain exclusively with the applicable PLLC and its licensed providers.
Gift cards may be redeemed toward eligible services subject to applicable law and terms disclosed at purchase.

Certain clinical services may be available at a client's home, workplace, event, or other approved location.
Thrive may facilitate scheduling and other non-clinical administrative coordination of mobile services on behalf of the applicable PLLC.
Additional mobile fees may apply.
The applicable PLLC and licensed provider retain sole authority over whether the clinical service is appropriate and whether the location is clinically suitable.
Clients requesting mobile appointments must provide a reasonably safe, sanitary, accessible, and appropriate environment.
Individual responses to medical, wellness, and aesthetic treatments vary.
No specific outcome is guaranteed.
Descriptions of potential benefits, testimonials, photographs, or other descriptions of individual experiences are provided for general informational purposes and should not be interpreted as a promise or guarantee of results.
Clinical discussions regarding risks, benefits, alternatives, contraindications, and expected outcomes are the responsibility of the applicable PLLC and licensed healthcare provider.
Testimonials and reviews reflect individual experiences and may not represent the experience of every client.
Before-and-after photographs are illustrative, and individual outcomes vary.
Use of identifiable clinical photographs, protected health information, or other patient information for marketing purposes is subject to applicable consent, authorization, and privacy requirements.
The MSA expressly prohibits marketing use of PHI unless separately authorized.
Thrive may receive and address administrative complaints, including scheduling, general customer service, billing administration, or other non-clinical operational concerns.
Clinical complaints are the responsibility of the applicable PLLC.
Any complaint involving a treatment outcome, alleged injury, reaction, contraindication, consent issue, clinical documentation, or another potentially clinical matter will be referred to the applicable PLLC for review.
Thrive will not make the final determination regarding a clinically related complaint without appropriate PLLC involvement.
This distinction follows the complaint and escalation procedure established in the MSA.
Each PLLC owns and controls the clinical records associated with its respective service line.
Thrive Wellbeing LLC does not own the clinical records.
Thrive may access protected health information (“PHI”) only to the extent necessary to perform authorized non-clinical administrative services, such as scheduling, reminders, billing support, intake coordination, and customer service.
To the extent required by applicable law, Thrive acts as a business associate of the applicable PLLC and uses PHI only for authorized purposes.
The MSA establishes these respective responsibilities for clinical records and PHI.
Use of the public-facing website is also subject to the Thrive Privacy Policy.
The website Privacy Policy does not replace any Notice of Privacy Practices or other privacy documentation applicable to clinical records or services.
By providing contact information, you agree that Thrive may use it for reasonable administrative communications, including scheduling, reminders, forms, payments, transactions, and other non-clinical coordination.
Marketing communications may be sent in accordance with applicable law and communication preferences.
You may unsubscribe from marketing emails using the unsubscribe mechanism provided.
Standard email, SMS, social media, and general website forms may not be secure channels for sensitive medical information.
When available, clients should use the designated secure clinical portal or other approved method for communicating sensitive clinical information.
Clinical protocols, standing orders, exclusions, emergency procedures, and related clinical materials are controlled by the applicable PLLC and its authorized licensed providers.
Thrive Wellbeing LLC has no authority to approve or control clinical protocols.
The MSA expressly reserves final approval of those materials to the applicable PLLC.
Licensed healthcare professionals providing clinical services do so under the applicable professional practice's authority, delegation, and supervision as required for the applicable service.
Thrive Wellbeing LLC does not control their clinical work.
The MSA specifically provides that the RN may perform services pursuant to separate independent-contractor arrangements with the applicable PLLCs and that each PLLC retains authority over clinical delegation, supervision, and suspension for its service line.
This website may link to or integrate with third-party services, including scheduling platforms, payment processors, telehealth/GFE providers, social-media platforms, analytics providers, maps, or other technology services.
Those providers may have separate terms and privacy policies.
Thrive does not control third-party websites and is not responsible for their independent practices.
Unless otherwise indicated, Thrive Infusions & MedSpa website content—including branding, logos, original text, graphics, photographs, designs, and other original materials—is owned by or licensed to Thrive Wellbeing LLC and protected by applicable intellectual-property laws.
Website content may be viewed for personal, non-commercial purposes.
You may not reproduce, distribute, republish, modify, sell, or commercially exploit protected content without authorization except as permitted by law.
Third-party trademarks and product names remain the property of their respective owners.

Nothing in these Terms releases, waives, transfers, or alters the professional responsibilities of the applicable PLLC or licensed healthcare provider.
Thrive Wellbeing LLC does not assume responsibility for diagnosis, prescribing, clinical eligibility determinations, clinical protocols, treatment planning, clinical supervision, or other professional medical judgment because those responsibilities remain with the applicable professional practice and its licensed providers.
Nothing in these Terms limits rights or remedies that cannot legally be limited or waived.
Integrative Mental Health PNW, PLLC and NW Behavioral Health Collaborative, PLLC are independently owned professional practices.
Each retains sole and exclusive control over the clinical and professional matters associated with its service line.
Thrive Wellbeing LLC does not own, direct, control, or interfere with the professional clinical judgment of either PLLC or its licensed healthcare providers.
Shared use of the Thrive Infusions & MedSpa brand, website, physical location, administrative systems, scheduling platform, equipment, personnel performing administrative functions, or other business resources does not change which professional practice is responsible for the applicable clinical service.
The applicable PLLC must remain identifiable as the clinical provider for its service line, consistent with the patient-facing structure required by the MSA.
For convenience, this website or marketing materials may use phrases such as “services available at Thrive,” “our services,” “our treatments,” “our appointments,” or similar language.
Such terminology is not intended to represent that Thrive Wellbeing LLC provides medical care.
Whenever the referenced service constitutes professional clinical care, the service is provided under the applicable independently owned PLLC and its licensed healthcare providers as described in these Terms.
To the extent permitted by applicable law, you agree to indemnify and hold Thrive Wellbeing LLC harmless from claims, liabilities, losses, damages, or expenses arising from your unlawful or unauthorized use of the website or material violation of these Terms.
This provision does not apply where indemnification would be prohibited by applicable law and does not transfer professional clinical responsibilities from a PLLC or licensed healthcare provider to Thrive Wellbeing LLC.
These Terms are governed by the laws of the State of Washington, without regard to applicable conflict-of-law principles.
Any dispute concerning these Terms or use of the Thrive website will be subject to the appropriate jurisdiction under applicable law.
This provision does not alter the laws, professional standards, or regulatory requirements independently applicable to the PLLCs or their licensed healthcare providers.
Thrive may update these Terms periodically to reflect changes to the website, non-clinical business operations, administrative practices, or applicable requirements.

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
